End User License Agreement

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE INSTALLING OR USING THE SOFTWARE. By downloading, installing, or using any Augmatic Audio software product (the "Software"), you agree to be bound by the terms of this End User License Agreement ("Agreement") between you and Augmatic Audio ("Licensor"). If you do not agree to these terms, do not install or use the Software.

1. Definitions

"Software" means the audio plug-in(s) distributed under the Augmatic Audio brand, in any plug-in format (VST3, AUv3, AU or CLAP), together with any updates and documentation.
"License Key" means the unique alphanumeric credential issued by the Licensor upon purchase that activates the full functionality of the VST3 version of the Software.
"Authorised Device" means a single computer or mobile device on which you have activated the Software using a valid License Key.
"DAW" means a digital audio workstation or host application used to load and operate the Software.
"App Store Version" means the iOS version of the Software distributed via the Apple App Store as an AUv3 Audio Unit extension.
"Personal Use" means use by a single natural person who purchased the licence.
"Business Use" means use by an organization for its internal operations.

2. Grant of Licence

2.1 Desktop Version (VST3)

Subject to your purchase of a valid licence and ongoing compliance with this Agreement, the Licensor grants you a non-exclusive, non-transferable, worldwide licence to install and use the Software on up to the number of Authorised Devices specified at the time of purchase (the "Device Limit"), solely for your personal or professional music production purposes.

2.2 App Store Version (AUv3)

The App Store Version is distributed via the Apple App Store and is governed by Apple's standard App Store terms in addition to this Agreement. No separate License Key is required for the App Store Version; access is governed by your Apple ID and applicable App Store purchase terms.

2.3 Scope

This licence permits you to:

Load the Software as a plug-in within any compatible DAW or AUv3 host.
Use the Software in the creation, production, recording, and performance of original music, including commercial releases.
Install the Software on up to the Device Limit of your own computers or devices.

2.4 Installation and Device Limits

(a) Personal Users. If you are an individual purchasing the licence for your own use, you may install and activate the Software on any number of computers or mobile devices that you personally own and control, provided that the Software is used exclusively by you. You may not share access to the Software or your License Key with any other person.

(b) Business and Organizational Users. If the licence is purchased by a company, studio, institution, or other organization, the licence is granted on a per-device basis. A separate licence is required for each computer or device on which the Software is installed or used. The Software may only be used by employees or contractors of the licence-holding organization.

(c) Prohibited Sharing. You may not install, activate, or use the Software on any device that you do not own or control, nor may you share, distribute, or otherwise make the Software or any License Key available to third parties.

(d) Activation Limits. The Licensor may impose reasonable technical limits on the number of simultaneous activations associated with a single licence. The Licensor may, at its discretion, reset or adjust activation counts in cases of hardware replacement or other legitimate need.

3. Restrictions

You may not, and you may not permit any third party to:

Copy, reproduce, distribute, sell, resell, sublicense, rent, lease, or lend the Software or any License Key.
Transfer your licence or License Key to another individual or entity.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law.
Modify, adapt, translate, or create derivative works of the Software.
Remove, alter, or obscure any proprietary notices, branding, or labels within the Software or its documentation.
Share, post, or distribute your License Key publicly or to any third party.
Use the Software in any manner that violates applicable laws or regulations.
Use the Software to produce content that is unlawful, harmful, or infringes the intellectual property rights of third parties.

4. Licence Key and Activation

The VST3 desktop version of the Software requires online activation using a License Key. Activation communicates with Licensor's licensing server to verify and register your licence. You are responsible for keeping your License Key confidential.

If you exceed the Device Limit, additional activations may be refused.

The App Store Version does not use License Keys. Activation and entitlement are managed by Apple.

5. Updates and Upgrades

The Licensor may, at its sole discretion, provide updates, bug fixes, or enhancements to the Software. Updates to the same major version are provided free of charge to existing licence holders. The Licensor reserves the right to charge for major version upgrades. All updates are subject to the terms of this Agreement unless a separate agreement accompanies the update.

6. Intellectual Property and Ownership

The Software is licensed, not sold. All title, ownership, and intellectual property rights in and to the Software remain with the Licensor. This Agreement does not transfer any ownership rights to you. Your rights are limited solely to those expressly granted in Section 2.

7. Third-Party Components and Attributions

The Software incorporates the following open-source components, each of which is subject to its own licence terms:

7.1 JUCE Framework

Portions of the Software use the JUCE framework , copyright © Raw Material Software Limited. JUCE is used under the JUCE End User Licence Agreement (JUCE EULA) or the GNU General Public License v3 (GPL v3), as applicable. More information: juce.com.

7.2 Mutable Instruments Grids

Augmatic Audio plug-ins incorporate an algorithmic drum pattern engine derived from Mutable Instruments Grids, copyright © Emilie Gillet / Mutable Instruments SARL. The original source code is licensed under the MIT Licence. The full text of the MIT Licence is reproduced in Appendix A of this document.

7.3 Lucide Icons

The Software's graphical interface may include icons from the Lucide icon library, copyright © Lucide Contributors. Lucide is licensed under the ISC Licence. The full ISC Licence text is reproduced in Appendix B of this document.

7.4 Steinberg VST3 SDK

The VST3 version of the Software is built with the Steinberg VST3 SDK, copyright © 2025 Steinberg Media Technologies GmbH, used under the MIT Licence. The full MIT Licence text is reproduced in Appendix C of this document. VST is a registered trademark of Steinberg Media Technologies GmbH.

7.5 CLAP Plug-in Format

The CLAP version of the Software is built with the following components, each licensed under the MIT Licence: CLAP, copyright © 2021 Alexandre BIQUE; clap-helpers, copyright © 2021 Alexandre BIQUE; and clap-juce-extensions, copyright © 2019-2020 Paul Walker. The full MIT Licence text is reproduced in Appendix D of this document.

7.6 Embedded Typefaces

Where the Software embeds typefaces for its graphical user interface, it uses the Lato typeface, copyright © 2010-2014 tyPoland Lukasz Dziedzic with Reserved Font Name "Lato", and the JetBrains Mono typeface, copyright © 2020 The JetBrains Mono Project Authors. Both are licensed under the SIL Open Font License, Version 1.1, and are embedded unmodified. The full OFL text is reproduced in Appendix E of this document. Not every Augmatic Audio product embeds typefaces; those that do not are unaffected by this section.

The Licensor makes no representation or warranty regarding the third-party components and is not liable for any defects or claims arising from them.

7.7 Licence Precedence

To the extent that any provision of this Agreement conflicts with or is more restrictive than the licence terms applicable to a third-party component listed in this section, the third-party licence terms shall prevail with respect to that component. Nothing in this Agreement shall be construed to limit any rights granted to you under such third-party licences. The restrictions set out in Section 3 apply only to the proprietary portions of the Software and do not restrict your rights under the MIT, ISC, GPL, or other open-source licences governing the respective third-party components.

8. Data Collection and Privacy

The VST3 desktop version of the Software communicates with the Licensor's licensing server solely for the purpose of licence activation and validation. The information transmitted is limited to: your License Key, an anonymised device identifier, and basic version information. No personal audio data, project data, or DAW data is collected or transmitted.

The App Store Version does not communicate with any Licensor server. Apple's privacy policy governs all data collected in connection with App Store transactions.

9. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

Some jurisdictions do not allow the exclusion of implied warranties. If such law applies to you, some or all of the above exclusions may not apply.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING FROM OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE LICENSOR'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENCE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you breach any of its terms. Upon termination you must immediately cease all use of the Software and destroy all copies in your possession. Sections 6, 9, 10, 12, and 13 shall survive termination.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Poland, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Poland for the resolution of any disputes arising under this Agreement.

13. General Provisions

This Agreement constitutes the entire agreement between you and the Licensor with respect to the Software and supersedes all prior understandings.
If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
The Licensor's failure to enforce any provision shall not be deemed a waiver of future enforcement of that provision.
You may not assign or transfer your rights under this Agreement without the prior written consent of the Licensor.
